Products purchased from Aaka Scientific Inc., shall only be used for research/ General purposes. Customer shall not use the products to manufacture commercial products and/or to sell services relating to or using the product. The resale of the product, or any unmodified derivatives and parts thereof, in any form, including repackaged, is strictly prohibited.

Customer shall only have a non-transferable right to use the products. This limited license does not transfer ownership or title to the product, or to any part thereof, to the customer.

Aaka Scientific Inc., does not grant to the customer any license, express or implied, in violation of or infringing upon any third-party rights. The customer is responsible for determining the existence of any such third-party rights, and to acquire any such rights, should they exist, before using the product.

Aaka Scientific Inc., has no claim of any kind to any research, data, facts, information, experimental results, and/or any other embodiments generated by Customer using Product, with exception to activities covered by an issued patent assigned, licensed, or controlled by Aaka Scientific Inc.,.

Use of the website and other links

Our Web site and service may contain links to other websites that are not operated by Us. If you click on a third-party link. You will be directed to that third party’s site. We strongly advise you to review the Terms & Conditions of every site you visit. We have no control over and assume no responsibility for the content, Terms & Conditions or practices of any third-party sites or services.

By accessing the website, you warrant and represent to Aaka scientific Inc., that you are legally entitled to do so and to make use of information made available via the website.

Conflict of terms

Severability

If any provision of this Agreement is hidden to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision. YOU AND US AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Agreement shall not affect a party’s ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute waiver of any subsequent breach.

No failure to exercise, and no delay in exercising, on the part of either party, any right or any power under this Agreement shall operate as a waiver of that right or power, nor shall any single or partial exercise of any right or power under this Agreement preclude further exercise of that or any other right granted herein. In the event of a conflict between this Agreement and any applicable purchase or other terms, the terms of this Agreement shall govern.

Amendments to this Agreement

We reserve the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our products/ service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use our products/service.

Entire Agreement

The Agreement constitutes the entire agreement between you and us regarding your use of the products/service and supersedes all prior and contemporaneous written or oral agreements between you and us. You may be subject to additional terms and conditions that apply when you use or purchase other products/services from us, which we will provide to you at the time of such use or purchase.

Updates to Our Terms

We may change our products/Service and policies, and we may need to make changes to these Terms so that they accurately reflect our products/Service and policies. Unless otherwise required by law, we will notify you (for example, through our products/Service) before we make changes to these Terms and give you an opportunity to review them before they go into effect. Then, if you continue to use the Products/Service, you will be bound by the updated Terms. If you do not want to agree to these or any updated Terms, you can delete your Account.

Applicable laws (choice of venue and forum)

Use of this website shall in all respects be governed by the laws of the province of Edmonton, Alberta , Canada, regardless of the laws that might be applicable under principles of conflicts of law. The parties agree that courts located in Edmonton, Alberta , shall have exclusive jurisdiction over all controversies arising under this agreement and agree that venue is proper in those courts.

Intellectual Property

Our platform and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by us, its licensors or other providers of such material and are protected by Canada and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. The material may not be copied, modified, reproduced, downloaded or distributed in any way, in whole or in part, without the express prior written permission of us, unless, and except as is expressly provided in these Terms & Conditions. Any unauthorized use of the material is prohibited.

Typographical Errors

In the event a product and/or service is listed at an incorrect price or with incorrect information due to typographical error, we shall have the right to refuse or cancel any orders placed for the product and/or service listed at the incorrect price. We shall have the right to refuse or cancel any such order whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, we shall immediately issue a credit to your credit card account or other payment account in the amount of the charge.

We do not warrant that our Product/ Service will be uninterrupted, uncorrupted, timely, or error-free. We reserve the right to make additions, deletions, or modifications to the contents on the Service at any time without prior notice.

Warranties and Liabilities

i) Product offered by Aaka Scientific Inc., is intended for research purposes only by qualified professionals, the burden for safe use in handling of our products entirely with the customer. The customer must determine suitability of a product for a particular use. We cannot assume responsibility for the completeness or accuracy of any information supplied by us in regard to the hazards or recommended use of these Products.

ii) Aaka Scientific Inc., products are warranted to meet the stated product specifications and to conform to the description on the label. In the event of a non-conformance with this warrant, Aaka Scientific Inc., will indemnify the customer against loss by them in an amount not to exceed the price paid for the goods. Recommended storage conditions must be observed.

iii) Aaka Scientific Inc., warrants that the product will meet specifications listed. At Aaka Scientific Inc., discretion, free replacement of any nonconforming product will be made if Aaka Scientific Inc., is notified within 30 days of product receipt. No other warranties of any kind, express or implied, including without limitation, implied warranties of merchantability, or fitness for a particular purpose, are provided by Aaka Scientific Inc.,.

iv) Aaka Scientific Inc., assumes no liability and shall not be responsible for any claims, losses, costs, damages, fees, or expenses arising out of, or in connection with, the Product, including claims based on infringement or misappropriation, and including, but not limited to, any actual or alleged injury, damage, death, or other consequence occurring to any legal or natural person or property, as a result, directly or indirectly, of the possession, use or consumption of any Product, under any cause of action, regardless of the form in which any such claim is made.

v) This Product may be protected by patent applications, patents, and/or copyrights. Aaka Scientific Inc., makes no representation or warranty as to whether the Product, and/or its uses, infringes any patent or intellectual property rights of any third party, nor shall Aaka Scientific Inc., be liable for infringement of any such rights.

vi) The limited warranty offered by Aaka Scientific Inc., is extended only to the customer who originally purchased the product directly from Aaka Scientific Inc.,.
Aaka Scientific Inc., warranty DOES NOT extend to any subsequent owner or other transferees of the product, and this warranty cannot be offered by any unauthorized reseller of the product.

vii) Aaka Scientific Inc., limited warranty DOES NOT cover any damage due to: (a) transportation; (b) storage; (c) improper use; (d) failure to follow the product instructions, or to perform any preventive maintenance; (e) modifications; (f) unauthorized repair; (g) normal wear and tear; or (h) external causes such as accidents, abuse, or other actions or events beyond our reasonable control.

viii) Aaka Scientific Inc., makes no warranties, expressed or implied, including without limitation, the warranties of merchantability or fitness for a particular purpose.

ix) Aaka Scientific Inc., reserves the right to cancel order(s) at any given time due to various unpredictable economic & technical factors involved that are beyond our control. In the event of a cancellation, Aaka Scientific Inc., will compensate the customer against their loss of the maximum amount of undelivered products & services in the Sale Order. Compensation is subject to terms and conditions of refund policies and will not exceed the price paid for the goods and services in any circumstance(s).

Pricing

Our prices are current at the time of release of the catalogue. Due to changes beyond our control, including unexpected fluctuation of the cost of raw materials, we reserve the right to change prices without prior notice. Sales taxes, if applicable, are extra to the listed prices. All prices for products and services are FOB Shipping Point. All international orders are charged in US dollars. All pricing displayed on the Aaka Scientific Inc., website is for customers in Canada and USA ONLY.

Shipping and Shipping Charges

Please note that Aaka Scientific Inc., cannot and will not ship Research products to residential addresses, or non-research organizations – any orders to any person at any residential address may subject to a rejection of refunds. The non research products will be ship to individual and residential address.

Aaka Scientific Inc., also reserves the right to reject any order that contains hazardous materials to non-academic labs based on government regulations, as well Aaka Scientific Inc., internal safety policies.

Products are packaged in commonly used laboratory / Clinic sizes which are ready to ship. If bulk quantities and alternate sizes are required which not offered on this website, please inquire. The best shipping methods, based on analysis by Aaka Scientific Inc., are selected for each order. The majority of orders are shipped via UPS and FedEx. In the case of products, shipments are typically made within 24-48 hours upon order confirmation. Shipments may vary with stock availability. Additional shipping costs may occur for shipments that require special handling such as cold shipments or hazardous chemicals. Shipping fees may change at anytime to reflect current UPS and FedEx pricing.

Damaged Shipments and/or Missing Items

Please inspect your shipment upon receipt. If it shows any external damage, accept it ONLY AFTER the driver has noted the damage on both his and your copies of the delivery receipt, AND you have requested an inspection by the carrier, or you may relinquish your right to make a claim.

If you find damage (internal) upon opening a shipment, please report the damage to both Aaka Scientific Inc., and the carrier within 24hrs of delivery, or you may relinquish your right to make a claim.

If you find that items are missing from your shipment, please report this to both Aaka Scientific Inc., and the carrier within 24hrs of delivery or you may relinquish your right to make a claim. Either we may have forgotten to include the additional items in your shipment, or the carrier has misplaced/ forgotten some items for your shipment. It is also possible that the item you requested to be shipped is still on “backorder” and would be shipped separately at a later date.

Returns and Exchanges

All returns and exchanges must be authorized by Aaka Scientific Inc., and is on a case-by-case basis.

IMPORTANT: Please request a Return Authorization Form (RTA Form) from sales@aakascientific.com when returning any items to Aaka Scientific Inc.,.
A copy of a completed form and a valid RTA Number MUST be included with your return shipment. Shipments to Aaka Scientific Inc., will not be accepted without a completed Return Authorization Form and RTA Number.

All refund and cancellation requests may be subject to 6% to 10% bank processing fee plus admin fee.

Standard products may be subject to a 25% restocking charge.

Other products such as specialized products and made-to-order custom products may be subject to an order cancellation charge of up to 100% of your product purchase price. Products created by using our services are not eligible for returns or exchanges.

To be approved for a return or exchange, all packages of individual products should be unopened and therefore must be in an unused condition. We reserve the right to inspect them before issuing credit. Product(s) must be returned within 30 days upon your receipt. All shipping documents must meet DOT regulations.

Please Note: Return shipping costs to send product back to Aaka Scientific Inc., is the responsibility of the customer unless an error was made by Aaka Scientific Inc., If items are damaged in transit, no refund will be issued and all damage claims must be taken up with the freight carrier.

Discounts

Discounts (including promotions) showcased on this website are available in North America ONLY. Distributors are excluded from discounts, unless stated otherwise. Specific discount terms are stated in their respective discount web-pages. Discount errors may occur on the website. Aaka Scientific Inc., will attend to these errors with the best of their ability. Aaka Scientific Inc., cannot be held liable for these errors as errors are typically of a random occurrence. Terms of promotions are subject to change without notice.

Free Samples

Free samples are available for select products. Please inquire at Sales@aakascientific.com Products such as Lab Equipment and services are NOT eligible for free samples. Depending on the location of shipment, free samples may or may not be given free shipping.

Cancellations

If an order is cancelled BEFORE it is shipped, it may be subject to 6% to 10% bank processing fee. This processing fee is the direct charge from the credit card bureau to Aaka Scientific Inc.,.

If an order is cancelled AFTER the order is shipped, please see Returns and Exchanges.

Effective February 1, 2022, Aaka Scientific Inc., will not proceed with ANY laboratory reagents orders to any company that have residential address in Canada. The order and/or shipping address must be from a university, a hospital, an academic institute, valid commercial business address, a pharmaceutical company. All others orders are rejected.

Quotes

Quotes are for informational purposes (Price and Delivery Estimates) only, and should not be considered as legally Binding Contracts. There is no Binding Agreement unless an Official Sales Order has been issued and the payment requirements have been met. For more information, please contact our Accounting Department.

Your Suggestions

Any feedback, comments, ideas, improvements or suggestions (collectively, “Suggestions”) provided by you to us with respect to the products/ service shall remain the sole and exclusive property of us. We shall be free to use, copy, modify, publish, or redistribute the Suggestions for any purpose and in any way without any credit or any compensation to you.

Miscellaneous

If for any reason a court of competent jurisdiction finds any provision or portion of these Terms & Conditions to be unenforceable, the remainder of these Terms & Conditions will continue in full force and effect. Any waiver of any provision of these Terms & Conditions will be effective only if in writing and signed by an authorized representative of us. We will be entitled to injunctive or other equitable relief (without the obligations of posting any bond or surety) in the event of any breach or anticipatory breach by you. We operate and control our products/Service from our offices in Canada. The Service is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Accordingly, those persons who choose to access our products/Service from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable. These Terms & Conditions (which include and incorporate our Privacy Policy) contains the entire understanding, and supersedes all prior understandings, between you and us concerning its subject matter, and cannot be changed or modified by you. The section headings used in this Agreement are for convenience only and will not be given any legal Import.

Disclaimer

Aaka Scientific Inc., shall not be responsible for and disclaims all liability for any loss, liability, damage (whether direct, indirect or consequential), personal injury or expense of any nature whatsoever which may be suffered by you or any third party (including your company or institution), as a result of or which may be attributable, directly or indirectly, to your access and use of the website, any information contained on the website, your, your company’s or your institution’s personal information or material and information transmitted over our system. In particular, neither Aaka Scientific Inc., nor any third party or data or content provider shall be liable in any way to you or to any other person, firm, institution or corporation whatsoever for any loss, liability, damage (whether direct or consequential), personal injury or expense of any nature whatsoever arising from any delays, inaccuracies, errors in, or omission of any share price information or the transmission thereof, or for any actions taken in reliance thereon or occasioned thereby or by reason of non-performance or interruption, or termination thereof.
